Terms of Service

The agreement that governs your use of Tradevada. Please read it carefully — by creating an account or using the Service, you agree to these terms.

01 Agreement to Terms

These Terms of Service (the "Terms") form a binding agreement between you ("you" or "User") and Tradevada, LLC ("Tradevada," "we," "us," or "our") governing your access to and use of the Tradevada website, mobile or desktop applications, APIs, and related services (collectively, the "Service").

By creating an account, accessing the Service, or clicking "I agree" (or similar), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

02 About Tradevada

Tradevada is a software-as-a-service trading journal designed for retail options traders. The Service helps you import, organize, and analyze trades placed at supported brokerages, visualize portfolio performance, track strategy-specific metrics (including the wheel strategy), and review market news and economic events relevant to your positions.

Tradevada is not a broker-dealer, investment adviser, financial planner, or signal service. We do not execute trades on your behalf, recommend specific securities, or guarantee any investment outcome.

03 Eligibility

To use the Service you must (a) be at least 18 years old, (b) have legal capacity to enter into a binding contract, and (c) not be barred from receiving services under U.S. or other applicable law. By using the Service, you represent and warrant that you meet these requirements.

04 Account Registration

You must register for an account to use most features of the Service. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

You are responsible for safeguarding your password and any access credentials, and for all activity that occurs under your account. Notify us immediately at support@tradevada.com if you suspect unauthorized use. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

05 Subscription & Plans

Tradevada is offered on a paid subscription basis. Plans, pricing, and features are described on our pricing page and are subject to change. The current plans are:

  • Monthly: $19 per month, billed monthly.
  • Yearly: $190 per year (equivalent to $15.83 per month), billed annually — saves $38 per year (the equivalent of 2 months free) versus monthly billing.

Both plans include automatic broker synchronization via SnapTrade and full access to every Tradevada feature. Your subscription begins on the day you complete checkout and you receive immediate access to the Service.

Subscriptions are paid in advance. By completing checkout you authorize Tradevada to charge your payment method the applicable subscription fee on the date you subscribe and on each renewal date thereafter. You may cancel at any time from your account settings; cancellation takes effect at the end of your current billing period.

06 Billing & Auto-Renewal

Subscription fees are billed in advance on a recurring basis (monthly or annually depending on your plan). Your subscription will automatically renew at the end of each billing period at the then-current rate until you cancel.

By providing a payment method, you authorize us (and our payment processor, Stripe, Inc.) to charge that method for all fees due. If we are unable to process a charge, we may suspend or terminate your access to the Service.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; you will retain access until then. We do not pro-rate partial periods.

07 Refund Policy

All sales are final. Subscription fees — including monthly charges, annual charges, and any renewal charges — are non-refundable. We do not issue refunds or credits for:

  • partial billing periods (we do not pro-rate);
  • unused features, time, or capacity;
  • downgrades from a paid plan;
  • forgotten cancellations or missed renewal dates;
  • changes of mind after a successful charge.

You may cancel your subscription at any time from your account settings to prevent future charges. Cancellation takes effect at the end of your then-current billing period, and you retain access to Pro features until that date.

We offer a free tier specifically so you can evaluate Tradevada before paying anything. The Free plan includes the full wheel-strategy tracker, manual trade entry, CSV import, demo workspace, and core analytics — all at no cost and with no time limit. We strongly encourage you to use the Free plan to confirm Tradevada is right for you before upgrading.

Exceptions. The above policy does not limit any non-waivable refund rights you may have under applicable law. If you believe you have been charged in error (e.g., a duplicate charge, an unauthorized transaction, or a charge after a verified cancellation), contact support@tradevada.com within 30 days of the charge and we will investigate and correct any legitimate billing error.

08 License & Permitted Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial trading-journal needs (or your internal business needs if you operate as a sole proprietor or single-trader entity).

This license does not allow you to (a) resell, rent, sublicense, or otherwise commercially exploit the Service; (b) use the Service to provide services to third parties unless expressly authorized; or (c) use the Service in any manner not expressly permitted by these Terms.

09 Prohibited Conduct

You agree not to, and not to permit any third party to:

  • copy, modify, reverse-engineer, decompile, or disassemble the Service or any of its components;
  • use the Service to transmit malware, phishing material, or other harmful code;
  • attempt to gain unauthorized access to the Service, other users' accounts, or any related systems or networks;
  • scrape, crawl, or harvest data from the Service except via APIs we expressly provide;
  • impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • use the Service to engage in market manipulation, insider trading, or any other unlawful activity;
  • circumvent any rate-limiting, access-control, or security measure;
  • use the Service in any way that violates applicable law, infringes third-party rights, or breaches these Terms.

10 User Content & Trade Data

The Service allows you to import, upload, and store trade data, notes, tags, screenshots, and other content (collectively, "User Content"). You retain all ownership rights in your User Content.

By submitting User Content, you grant Tradevada a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content solely as necessary to operate, maintain, secure, and improve the Service for you. We will not sell your trade data or use it to train third-party machine-learning models without your consent.

You represent that you have the necessary rights to submit your User Content and that doing so does not violate any law or third-party right.

11 Broker Connections & Third-Party Services

The Service integrates with third-party brokerage and data providers (each a "Third-Party Service") to import your trade history and account information. You may be required to authenticate with the Third-Party Service and grant Tradevada access via OAuth, an API token, or read-only credentials.

Your use of any Third-Party Service is governed by that provider's own terms and privacy policy. Tradevada is not responsible for the availability, accuracy, completeness, or security of any Third-Party Service. Connection issues, missed trades, delayed data, or downtime at a Third-Party Service may impair the Service.

12 Intellectual Property

The Service — including its software, design, text, graphics, logos, trademarks, and underlying technology — is owned by Tradevada or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Except for the limited license granted in Section 8, these Terms do not grant you any right, title, or interest in the Service or our intellectual property.

"Tradevada," the Tradevada logo, and related names and marks are trademarks of Tradevada, LLC. You may not use them without our prior written permission.

13 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback into the Service without restriction or compensation.

14 Disclaimers

Tradevada is not investment advice. Nothing on the Service constitutes a recommendation to buy, sell, or hold any security. Trading involves substantial risk of loss and is not suitable for every investor. Past performance is not indicative of future results.

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Tradevada disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted or error-free operation.

We do not warrant that trade data displayed in the Service is accurate, complete, or current. You should always verify your account and trade information directly with your broker. Tradevada is not responsible for any loss arising from reliance on data displayed in the Service.

15 Limitation of Liability

To the maximum extent permitted by law, in no event will Tradevada or its officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost trading opportunities, lost data, or business interruption — arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

16 Indemnification

You agree to indemnify, defend, and hold harmless Tradevada and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

17 Term & Termination

These Terms remain in effect until terminated. You may terminate by deleting your account from your account settings or by contacting us. We may suspend or terminate your account at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

18 Changes to the Service or Terms

We may modify the Service or these Terms at any time. If we make material changes, we will notify you by email or by posting a notice in the Service before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

19 Governing Law

These Terms and any dispute arising out of or relating to them will be governed by the laws of the State of Texas, U.S.A., without regard to its conflict-of-laws principles. The exclusive venue for any judicial proceeding permitted under these Terms shall be the state or federal courts located in Travis County, Texas. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

20 Disputes & Arbitration

Most disputes can be resolved informally. Before filing a formal claim, please contact support@tradevada.com and we will work in good faith to resolve the issue.

If we cannot resolve a dispute informally, you and Tradevada agree to resolve any claim through final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that you may bring an individual claim in small-claims court if it qualifies.

Class-action waiver. You and Tradevada agree that disputes will be resolved on an individual basis only and that neither party may bring a claim as a plaintiff or class member in any class, collective, or representative proceeding.

21 Miscellaneous

These Terms, together with our Privacy Policy and any other agreements you accept in connection with the Service, constitute the entire agreement between you and Tradevada. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them at any time.
